Every Estonian company is required to submit an annual report. This obligation applies regardless of company size, turnover, or activity level - and it applies equally to companies owned by e-Residents.


Annual reporting is not a formality. It is a legal requirement and part of ongoing accounting and compliance obligations for Estonian companies.

What an Annual Report Represents

An annual report provides an official overview of the company’s position at the end of the financial year. It confirms whether the company was active or inactive and documents its financial status.


The report includes:

  • a summary of financial activity (or confirmation of no activity),

  • information about assets and liabilities,

  • a formal confirmation from management.

Deadlines Are Not Flexible

Annual reports must be submitted within six months after the end of the financial year.

Missing the deadline is not a minor issue. Late submission may lead to formal warnings, monetary fines, or - in prolonged cases - forced liquidation proceedings initiated by the authorities.

Unresolved reporting issues may also affect the company’s standing in the Business Register, which can later require corrective administrative actions.


Common Misunderstandings

There are several assumptions that frequently cause problems:

“I had no income, so I don’t need to report. ”This is incorrect. Reporting is mandatory even without income or transactions.

“My accountant will do it automatically. ”Only if this has been explicitly agreed in advance.

“I can submit it later. ”Deadlines are enforced, and postponing usually increases risk rather than reducing it.

Clarifying responsibilities in advance is often part of professional advisory discussions, especially for first-time company owners.
