1. General Terms

1.2. Client and User

The Client is a legal entity or a natural person (e.g., e-Resident) to whom DigiSettle provides accounting, formation, or advisory services.

The User is a person acting on behalf of the Client who communicates with DigiSettle.

The Client is obliged to provide accurate, complete, and lawful information and documentation required for the performance of services.
1.3. Communication Policy

Primary Channels: To ensure accuracy, record-keeping and the security of financial data, DigiSettle conducts all official business communication exclusively via email (info@digisettle.ee) and scheduled video/audio consultations.

No Unscheduled Calls: To maintain focus on accounting precision and client confidentiality, we do not provide unscheduled phone support or "quick" consultations via mobile phone.

Consultation Access: Access to direct voice/video communication is provided only to active Clients under a monthly retainer or to individuals who have booked and prepaid for a formal consultation via our website.

Response Time: We aim to respond to all written inquiries within 24–48 business hours, excluding weekends and Estonian public holidays.
2. Description of Services
DigiSettle provides professional business services including, but not limited to:

Company Formation: Assisting with Estonian company registration and state fee payments.

Accounting & Tax Compliance: Monthly bookkeeping, VAT reporting (including OSS/IOSS), payroll, and submission of Annual Reports.

Legal Address & Contact Person: Providing mandatory representation for non-resident management boards.

Advisory: Tax consulting (Estonia, international, Ukraine-specific) and business development support.
3. Client Obligations and KYC/AML

Identification: In accordance with Licence FIU000410 and Estonian AML/KYC laws, the Client must provide valid identity documents and information about the Ultimate Beneficial Owner (UBO).

Information Accuracy: The Client is responsible for the legality of their business activities and the accuracy of all source documents (invoices, contracts, bank statements) provided to DigiSettle.

Deadlines: The Client must provide necessary documents by the internal deadlines set by DigiSettle to ensure timely tax filings.
4. Data Processing and Security

Data Controller: For personal data provided by the Client, the Client is the Controller, and DigiSettle acts as the Processor.

Confidentiality: DigiSettle treats all Client business information as strictly confidential and does not disclose it to third parties, except as required by Estonian law (e.g., Tax Board, FIU).

Storage: Accounting documents are stored for 7 years as required by the Estonian Accounting Act. KYC documents are stored for 5 years after the termination of the service agreement.
5. Fees and Payment

Pricing: Service prices are listed on the website or specified in the individual Service Agreement.

Currency: All payments are processed in Euros (EUR).

Payment Methods: We accept transfers via Swedbank, SEB, LHV, Wise, Revolut and other major payment institutions.

Retainers: Monthly accounting fees are usually prepaid or paid based on the invoice within the agreed deadline.

One-time fees: Services like "Company Formation" or "Consultation" must be paid in full before the service is initiated.
6. Liability

Professional Responsibility: DigiSettle is responsible for the correct technical execution of accounting entries based on the documents provided by the Client.

Exclusion of Liability: DigiSettle is not liable for fines or interest arising from:

Delayed submission of documents by the Client.

Provision of incorrect or fraudulent information by the Client.

Decisions made by the Client contrary to DigiSettle’s professional advice.

Force Majeure: DigiSettle is not liable for service interruptions caused by failures in government systems (e-Business Register, Tax Board portal).
7. Agreement Validity and Termination

Start of Agreement: The agreement is considered active upon the first payment or the signing of a Service Contract.

Termination: Either party may terminate the ongoing service agreement (e.g., monthly accounting) by giving 30 days' notice in writing (via email).

Liquidation: The liquidation process is a specific legal procedure lasting at least 9 months and is governed by separate terms.
8. Dispute Resolution

These Terms are governed by the laws of the Republic of Estonia.

Any disputes that cannot be resolved through negotiation shall be settled in the Harju County Court (Harju Maakohus) in Tallinn.
9. Final Provisions
-
DigiSettle is a professional service provider, not an automated software. Every case is handled by a certified specialist.

By paying for our services, you confirm that you have read and agreed to these Terms of Service.
